Article
1 (Purpose and Scope)
These
Terms of Use (the “Terms”) are intended to define the rights, obligations, and
responsibilities between Coach Travel Co Ltd (hereinafter referred to as
“ComboBooking”) and users in relation to the use of travel-related information
services and booking intermediary services (the “Services”) provided through
the online platform operated by ComboBooking.
ComboBooking
is not a provider or seller of travel products. Instead, it operates as an
online intermediary platform that connects users with partners who provide
travel products. Users may search, compare, and book products offered by
partners through the ComboBooking platform.
These
Terms apply to all forms of service usage provided by ComboBooking, including
but not limited to website, mobile applications, email, telephone, and other
communication channels.
By
accessing the platform, using the Services, or completing a booking, users are
deemed to have read, understood, and agreed to these Terms and any related
policies (including the Privacy Policy).
ComboBooking
reserves the right to amend these Terms in compliance with applicable laws, and
any revised Terms shall take effect after prior notice has been provided in
accordance with applicable regulations.
Article 2
(Definitions)
For the
purposes of these Terms, the following terms shall have the meanings set forth
below:
1.
“ComboBooking”
means the online platform operated by Coach Travel Co Ltd, providing
intermediary e-commerce functions including information provision, search,
comparison, booking, and payment facilitation for travel products. ComboBooking
solely provides a system connecting users and partners and is not the seller or
provider of any travel products.
2.
“Services”
means all online intermediary services and related support services provided by
ComboBooking, enabling users to search, compare, book, pay for, and access
information regarding travel products.
3.
“User” means
any person who accesses or uses the Services in accordance with these Terms,
including both members and non-members.
4.
“Member” means
a user who has registered an account by providing personal information and is
able to continuously use the Services.
5.
“Non-member”
means a user who uses the Services without registering an account.
6.
“Partner” means
any entity or individual providing travel products through the ComboBooking
platform (including travel agencies, activity operators, accommodation
providers, etc.), who directly enters into a contract with users and is
responsible for the provision and fulfillment of such products.
7.
“Content
Partner (Blogger)” means a person who creates, posts, and shares travel-related
content via the ComboBooking platform or external channels, and is not a seller
or a contracting party in transactions with users. Content
Partners are responsible for the accuracy, legality, and non-infringement of
rights related to their content.
8.
“Travel
Product” means all tangible or intangible services provided by partners,
including but not limited to accommodation, tours, activities, transportation,
tickets, and experiences.
9.
“Booking” means
the act by which a user selects a travel product and expresses the intention to
use it through the platform, thereby initiating the process of entering into a
contract with a partner.
10. “Contract”
means the legally binding agreement formed directly between the user and the
partner upon completion of a booking, and ComboBooking is not a party to such
contract.
11. “Payment” means
the act of paying for a booked travel product, processed through ComboBooking’s
payment system or third-party payment service providers.
12. “Content” means
all reviews, images, comments, travel logs, and other materials posted on the
ComboBooking platform by users or content partners.
Article 3
(Display and Amendment of Terms)
1.
ComboBooking
shall make these Terms, along with company information such as company name,
representative, business address, contact details, email address, business
registration number, e-commerce registration information, and data protection
officer, easily accessible to users through the main page or linked pages of
the platform.
2.
ComboBooking
reserves the right to amend these Terms to the extent permitted by applicable
laws. Such amendments may be made as necessary for service operation or due to
changes in laws or internal policies.
3.
In the event of
any amendment to these Terms, ComboBooking shall clearly indicate the effective
date, the details of the amendment, and the reasons for such amendment, and
shall publish them together with the current Terms on the platform. For general
amendments, prior notice shall be given at least seven (7) days before the
effective date. For amendments
that are unfavorable to users, prior notice shall be given at least thirty (30)
days before the effective date.
4.
Users have the
right to refuse the amended Terms. In such case, users may discontinue the use
of the Services and request account termination. If a user continues to use the Services
after the amended Terms become effective, the user shall be deemed to have
agreed to the amended Terms.
5.
The amended
Terms shall apply only to transactions concluded after the effective date.
Unless otherwise required by law, previously concluded transactions shall not
be affected retroactively.
Article 4
(Nature and Role of the Services)
1.
ComboBooking
operates as an online platform that facilitates transactions between users and
partners providing travel products, offering intermediary services such as
search, comparison, booking, and payment support. ComboBooking is not the seller or
provider of any travel product and is not a party to any contract entered into
between users and partners. Users acknowledge and agree that upon completing a
booking through the ComboBooking platform, the contract for the relevant travel
product is formed directly between the user and the partner.
2.
All information
related to travel products displayed on the ComboBooking platform (including
pricing, schedules, usage conditions, availability, etc.) is provided by
partners. Partners are
solely responsible for the accuracy, completeness, legality, and timeliness of
such information, and ComboBooking has no obligation to verify or guarantee its
accuracy. While
ComboBooking makes reasonable efforts to manage the platform, it shall not be
liable for any issues arising from the following:
· Errors,
omissions, or inaccuracies in information
· System
failures, access delays, or temporary service interruptions
· Inaccurate or
changed information provided by partners
· Any causes
beyond the reasonable control of ComboBooking
3.
Users may use
the ComboBooking platform solely for personal and non-commercial purposes. Users shall not
engage in the following activities:
· Reselling or
re-mediating services for commercial purposes
· Copying,
distributing, transmitting, or reusing platform content
· Collecting data

· Interfering
with the normal operation of the platform
4.
If a partner
changes the content, conditions, pricing, or availability of a travel product,
ComboBooking may update such information on the platform. Accordingly,
the conditions of a product that a user intends to book may change. However, for
transactions already concluded between the user and the partner, any changes
shall be handled in accordance with the partner’s policies and applicable laws.
5.
ComboBooking
may modify or suspend part or all of the Services due to system maintenance,
technical requirements, service improvements, or other operational needs. In such cases,
ComboBooking will provide prior notice where possible, or subsequent notice if
prior notice is not feasible.
6.
ComboBooking
may provide support functions to facilitate transactions between users and
partners, including transmission of booking information, payment support,
customer service, and dispute assistance. However, such support does not imply
that ComboBooking is a party to the transaction or assumes any contractual
liability.
Article 5
(Service Suspension and Modification)
1.
ComboBooking
may temporarily suspend or restrict all or part of the Services in the
following circumstances:
· Inspection,
maintenance, replacement, or failure of information and communication systems
· Network
failures or issues caused by service providers
· System
upgrades, operational needs, or security requirements
· Force majeure
events such as natural disasters, national emergencies, power outages, hacking,
or cyber-attacks
· Other causes
beyond the reasonable control of ComboBooking
2.
In the event of
service suspension under Paragraph 1, ComboBooking shall, in principle, provide
prior notice to users. However, in
cases where prior notice is not feasible due to urgent or unavoidable
circumstances, notice may be given after the event.
3.
ComboBooking
shall not be liable for any damages arising from service suspension or
restriction unless such damages are caused by the willful misconduct or gross
negligence of ComboBooking.
4.
ComboBooking
may modify or terminate all or part of the Services due to changes in business
structure, service policies, business termination, merger, or division of the
company. In such cases,
ComboBooking shall notify users in advance and take necessary measures in
accordance with applicable laws.
Article 6
(Membership Registration and Account Management)
1.
A user may
apply for membership by providing the required information in accordance with
the procedures established by ComboBooking and agreeing to these Terms.
2.
ComboBooking
shall approve membership applications under Paragraph 1 unless any of the
following applies. In such cases, ComboBooking may refuse approval or may
restrict, suspend, or terminate membership even after approval has been
granted:
· The applicant
has previously had their membership restricted or terminated due to violation
of these Terms
· The applicant
uses another person’s information or provides false information
· Required
information is missing or incorrectly provided
· There are
reasonable grounds to believe the applicant may violate applicable laws or
these Terms
· The application
may disrupt the normal operation of the Services
· Other cases
where ComboBooking reasonably determines that registration is inappropriate
3.
Membership
shall be deemed effective at the time when ComboBooking’s acceptance is
communicated to the user.
4.
Members are
responsible for ensuring that the information provided during registration is
accurate and up to date. If any changes
occur, members must promptly update their information. Members shall
bear all responsibility for any consequences arising from inaccurate, false, or
outdated information.
5.
Members are
responsible for managing their own accounts (including ID and password) and
shall not transfer, lend, or share their accounts with any third party. ComboBooking
shall not be liable for any damages resulting from a member’s failure to
properly manage their account.
6.
If a member
becomes aware that their account has been compromised or used without
authorization, the member must immediately notify ComboBooking. ComboBooking
shall take necessary measures within a reasonable scope.
Article 7
(Termination and Restriction of Membership)
1.
Members may
request account termination at any time, and ComboBooking shall process such
requests in accordance with applicable laws and internal policies. However, if
there are ongoing bookings or pending settlements, account termination may be
deferred until such processes are completed.
2.
ComboBooking
may, upon prior notice, restrict the use of the Services or suspend a member’s
account if the member falls under any of the following circumstances:
· Providing false
information at the time of registration
· Failure to
fulfill payment obligations or other obligations related to the use of the
Services
· Unauthorized
use of another person’s account or interference with service usage
· Violation of
applicable laws, these Terms, or public order and morals
· Use of the
Services through fraudulent means or disruption of platform operations
· Any other cases
where ComboBooking reasonably determines that such action is necessary for
service operation
3.
If the same
violation is repeated or not remedied within a reasonable period after
restriction or suspension under Paragraph 2, ComboBooking may terminate the
member’s account.
4.
In the event of
termination, ComboBooking may delete the member’s registration after prior
notice and providing an opportunity for the member to respond. However, in
urgent cases or where immediate action is required to protect the platform,
such measures may be taken without prior notice and notified afterward.
5.
Termination of
membership shall not affect any obligations or liabilities incurred by the
member prior to such termination.
Article 8
(Notices to Members)
1.
Where
ComboBooking provides notice to a member, such notice may be given by methods
designated by ComboBooking, including the email address, mobile phone number
provided at the time of registration, or notifications within the service
platform.
2.
In the case of
notices to an unspecified number of members, ComboBooking may substitute
individual notice by posting such notice on the platform’s notice board or an
equivalent page for at least seven (7) days.
3.
However,
matters that have a significant impact on the rights or obligations of members
shall, in principle, be notified individually.
4.
ComboBooking
shall not be liable if a notice fails to reach a member due to errors in the
contact information provided by the member, failure to update such information,
refusal to receive notifications, or system-related issues.
Article 9
(Content Management and Responsibility)
1.
“Content” means
all materials posted on the ComboBooking platform by users or content partners,
including but not limited to reviews, images, comments, travel posts, links,
and other forms of content.
2.
All
responsibility for the Content (including its accuracy, legality, and
non-infringement of third-party rights) lies with the user or content partner
who created or posted it. ComboBooking
has no obligation to pre-screen or monitor such Content.
3.
Users or
content partners shall not post any Content that:
· Defames or
harms the reputation of others
· Contains false
or misleading information
· Violates public
order or morality
· Encourages
illegal activities or criminal acts
· Infringes upon
the rights of third parties (including copyright, portrait rights, privacy
rights, etc.)
· Contains
commercial advertising or promotional content without prior consent from
ComboBooking
· Otherwise
violates applicable laws or these Terms
4.
ComboBooking
may, without prior notice, remove, relocate, or refuse to post any Content in
the following cases:
· Violation of
Paragraph 3 of this Article
· Request by
competent authorities in accordance with applicable laws
· Claims or
reports of rights infringement
· Where
ComboBooking reasonably determines that such action is necessary for service
operation
5.
ComboBooking
may take actions such as modifying, deleting, or restricting the display of
Content, and shall not be liable for any damages resulting from such actions.
6.
If any dispute
arises due to Content posted by a user or content partner, including
infringement of third-party rights or violation of laws, the user or content
partner shall bear full responsibility and shall indemnify and hold
ComboBooking harmless.
7.
Users or
content partners grant ComboBooking a non-exclusive, royalty-free, and
worldwide license to use their Content for service operation, promotion,
marketing, and other legitimate purposes.
Article 10
(Pricing and Fee Policy)
1.
The prices of
travel products displayed on the ComboBooking platform are based on information
provided by partners, and users shall proceed with bookings after confirming
such prices. Unless
otherwise stated, all displayed prices are inclusive of value-added tax (VAT)
and applicable taxes. However,
additional local taxes or charges may apply, and such costs shall be governed
by the specific conditions of each product.
2.
Prices,
discount conditions, usage conditions, and inclusions may vary depending on the
partner’s policies. Even for the
same product, prices may differ depending on sales channels, timing, or
applicable conditions. ComboBooking
strives to offer competitive pricing but does not guarantee any specific price
or the lowest price.
3.
Special deals,
promotional offers, or discounted products may be subject to separate
conditions, including restrictions on cancellation, refunds, or changes. Users are
responsible for reviewing these conditions prior to booking.
4.
Currency
conversion features are provided for reference purposes only, and the actual
exchange rate and charged amount may differ at the time of payment.
5.
In the event of
an obvious error or pricing mistake displayed on the ComboBooking platform,
such price may not be legally binding. In such cases, ComboBooking reserves
the right to cancel or correct the booking and will notify the user either
before or after taking such action. If payment has already been made,
ComboBooking shall take necessary measures, including issuing a refund as
appropriate.
6.
Any issues
arising from changes, errors, or omissions in pricing information provided by
partners shall, in principle, be the responsibility of the respective partner.
7. ComboBooking may offer discounts, reward points, coupons, or other benefits for certain products or bookings in accordance with its operational or promotional policies. The applicable conditions and criteria for such benefits shall be separately specified.
Article
11 (Privacy and Cookie Policy)
ComboBooking
places great importance on the protection of users’ personal data and complies
with applicable data protection laws and regulations.
Details regarding the collection, use, storage, and protection of personal data are set forth in separate documents, namely the “Privacy Policy” and the “Cookie Policy.” By using the Services, users are deemed to have read, understood, and agreed to such policies.
Article 12
(Service Fees and Commission)
1.
Users are not
required to pay any separate service fees for using the ComboBooking platform.
2.
ComboBooking
may receive an intermediary commission from partners, in accordance with
separate agreements between ComboBooking and the partners, for travel products
booked by users.
3. The amount paid by users may include service fees, taxes, or other charges in accordance with the partner’s policies. Such charges shall be clearly disclosed on the product detail page or during the booking and payment process.
Article 13
(Payment and Payment Methods)
1.
Users may pay
for travel products using the payment methods available on the ComboBooking
platform. Payments are
processed through third-party payment service providers. ComboBooking
acts as an intermediary providing the payment system and may be involved in the
payment process; however, the ultimate responsibility for the execution and
authorization of the transaction lies with the relevant payment service
provider.
2.
Payment
conditions for each travel product (including prepayment, partial payment,
pay-on-site, etc.) are determined by the partner’s policies. Users are
responsible for reviewing such conditions prior to booking. In certain
cases, payment may be made immediately upon booking, or through
pre-authorization or automatic charging at a specified time.
3.
Users are
responsible for the accuracy of the information provided during the payment
process. ComboBooking
shall not be liable for any disadvantages or damages arising from inaccurate
information or issues related to the user’s payment method.
4.
A booking may
not be completed due to incorrect information, exceeded payment limits, or
declined transactions. In such cases,
the responsibility lies with the user.
5.
ComboBooking
shall not be liable for any errors, delays, or interruptions in the payment
process unless such issues are caused by ComboBooking’s willful misconduct or
gross negligence.
6. If a user suspects unauthorized use or fraud involving their payment method by a third party, the user must immediately report it to the relevant payment service provider and authorities. ComboBooking may cooperate within a reasonable scope in the investigation and resolution process.
Article 14
(Cancellation, Modification, and Refund Policy)
1.
The
cancellation, modification, and refund conditions for travel products are
determined by the respective partner and are specified on the product detail
page, during the booking process, and in the booking confirmation. Users are
responsible for reviewing and agreeing to such conditions prior to making a
booking.
2.
The contract
for a travel product is entered into directly between the user and the partner. Accordingly,
the rights and obligations related to cancellation and refunds shall, in
principle, be governed between the user and the partner. ComboBooking is
not the party determining such conditions and does not bear direct
responsibility for them.
3.
Refunds may be
restricted or unavailable in the following cases:
· Bookings made
under non-refundable conditions
· Expiration of
the allowable cancellation period
· No-show or
failure to use the service due to the user’s fault
· Products
requiring prepayment or deposits with non-refundable conditions
4.
In cases of
cancellation or modification due to the user’s fault (including incorrect
payment information, scheduling errors, or change of mind), cancellation fees
or refund restrictions may apply in accordance with the partner’s policy, and
all responsibility lies with the user.
5.
Users must
request cancellation or modification in accordance with the procedures
specified in the booking confirmation or on the ComboBooking platform. ComboBooking
shall not be liable for any disadvantages arising from failure to follow such
procedures or delayed requests.
6.
If services are
restricted or canceled due to circumstances beyond the control of the user or
ComboBooking (including natural disasters, weather conditions, government
policies, local situations, or partner-related issues), the availability and
scope of refunds shall be determined in accordance with the partner’s policies
and applicable laws.
7.
ComboBooking
may provide mediation or support to facilitate dispute resolution between users
and partners; however, this does not imply that ComboBooking assumes any legal
responsibility for the transaction.
8.
Where refunds
are applicable, the method and processing time of refunds may vary depending on
the payment method and the policies of the payment service provider.
Article 15
(Informational Notices and Marketing Communications)
1.
Upon completion
of a booking through the ComboBooking platform, ComboBooking may provide
necessary information for the execution of the transaction, including booking
confirmations, usage instructions, and service-related notices, via email, text
message, or in-platform notifications.
2.
ComboBooking
may send marketing communications, including travel product recommendations,
promotions, events, and other advertising information, only with the prior
consent of the user.
3.
Users may opt
out of receiving marketing communications at any time. Even after
opting out, essential service-related information such as booking confirmations
and usage instructions may still be provided.
4.
ComboBooking
may send requests for reviews or satisfaction surveys after the completion of
service usage. Such
communications are intended solely for the purpose of improving service
quality.
5.
Detailed
matters regarding marketing communications and personal data processing shall
be governed by the Privacy Policy and applicable laws.
Article 16
(Product Display, Ranking, and Reviews)
1.
The display
order and ranking of travel products on the ComboBooking platform may be
determined automatically or manually based on internal criteria and algorithms. Such criteria
may include price, user reviews, sales volume, user preferences, promotional
status, and partner-related conditions. ComboBooking has no obligation to
disclose the specific details of such criteria.
2.
ComboBooking
may assign priority display to certain products for purposes such as
recommendations, advertising, or promotions. Users acknowledge and agree that search
results may vary accordingly.
3.
User-generated
reviews are provided for reference purposes only, and the responsibility for
their content lies with the respective authors. ComboBooking does not guarantee the
accuracy, reliability, or completeness of such reviews.
4.
Reviews
submitted by users may be used, edited, modified, and displayed on the
ComboBooking platform and related channels (including websites, mobile
applications, social media, and marketing materials). Users grant
ComboBooking a non-exclusive, royalty-free, and worldwide license to use such
content.
5.
ComboBooking
may, without prior notice, remove, hide, or restrict reviews in the following
cases:
· Content that is
false or exaggerated
· Content that
infringes third-party rights or violates applicable laws
· Content that is
promotional, advertising in nature, or otherwise inappropriate
· Any other cases
where ComboBooking reasonably determines such action is necessary for service
operation
6.
ComboBooking
may establish separate policies regarding the posting, display, and management
of reviews, and users shall comply with such policies.
Article 17
(Disclaimer and Limitation of Liability)
1.
Within the
scope permitted by applicable laws, ComboBooking shall be liable only for
damages caused by its intentional misconduct or gross negligence. Even in such
cases, the scope of liability shall be limited to the actual amount paid by the
user for the relevant transaction.
2.
ComboBooking
shall not be liable for the following:
· The content,
quality, safety, legality, or performance of travel products provided by
partners
· Errors,
omissions, or changes in information provided by partners
· Non-performance
of contracts or disputes between users and partners
· Damages caused
by the user’s own fault
· Damages arising
from causes beyond ComboBooking’s control, including natural disasters, weather
conditions, government policies, strikes, system failures, or communication
disruptions
3.
ComboBooking
shall not be liable for any indirect, special, or consequential damages arising
from the use of the service, including but not limited to loss of business,
loss of profits, loss of data, or damage to reputation.
4.
Responsibility
for the imposition, reporting, and payment of taxes related to travel products
lies with the partner providing such products, and ComboBooking shall bear no
legal responsibility in this regard.
5.
The
responsibility for copyright and other rights related to content (including
reviews, images, and text) posted on the platform by users or content partners
lies with the respective poster, and ComboBooking does not guarantee or verify
such rights.
6.
If any dispute
arises with a third party in connection with content posted by a user or
content partner, the respective user or content partner shall bear full
responsibility and shall indemnify and hold ComboBooking harmless.
7.
Users or
content partners grant ComboBooking a non-exclusive, royalty-free, and
worldwide license to use the content they post for service operation,
promotion, marketing, and other related purposes.
Article 18
(Intellectual Property Rights)
1.
All content
provided in connection with the ComboBooking platform and Services (including
text, images, videos, designs, logos, software, and data) is owned by
ComboBooking or by third parties holding legitimate rights.
2.
All trademarks,
service marks, trade names, logos, and related identifiers displayed on the
ComboBooking platform are the property of ComboBooking and are protected under
Vietnamese intellectual property laws and applicable regulations. In the event of
infringement, ComboBooking reserves the right to demand cessation of the
infringing activity and to pursue legal remedies, including claims for damages.
3.
Users shall not
copy, distribute, transmit, display, sell, modify, or otherwise exploit any
content on the platform for commercial purposes without prior written consent
from ComboBooking. The collection
or use of data through automated means (including crawling, scraping, etc.) is
strictly prohibited.
4.
Ownership of
content posted by users or content partners remains with the respective
authors. However, users
or content partners grant ComboBooking a non-exclusive, royalty-free, and
worldwide license to use such content for service operation, promotion,
marketing, and other legitimate purposes.
5.
Users or
content partners represent and warrant that the content they post does not
infringe upon any third-party rights (including copyrights, portrait rights,
and privacy rights). In the event of
any related dispute, the poster shall bear full responsibility.
6.
ComboBooking
may, without prior notice, remove or restrict access to any content that it
reasonably determines to be in violation of applicable laws or these Terms.
7.
If a user
violates this Article and causes damage to ComboBooking or any third party, the
user shall be liable for all such damages.
Article 19
(Governing Law and Dispute Resolution)
1.
These Terms and
any matters arising in connection with the Services provided by ComboBooking
shall be governed by and construed in accordance with the laws of Vietnam.
2.
In the event of
any dispute arising out of or in connection with these Terms or the use of the
Services, ComboBooking and the user shall first attempt to resolve such dispute
through good-faith negotiations. If no resolution is reached, the
competent courts located in Hanoi, Vietnam shall have exclusive jurisdiction,
to the extent permitted by applicable laws.
3.
These Terms may
be provided in multiple languages. Translated versions are provided for
convenience only. In the event of
any inconsistency between language versions, the English version shall prevail,
unless otherwise required by applicable laws.
4.
If any
provision of these Terms is found to be invalid or unenforceable under
applicable laws, the remaining provisions shall remain in full force and
effect. In such case,
the invalid provision shall be interpreted in a manner that most closely
reflects the original intent of these Terms to the maximum extent permitted by
law.
Article 20
(Company Information and Legal Jurisdiction Basis)
1.
ComboBooking is
a limited liability company established under the laws of Vietnam, with the
legal name Coach Travel Co Ltd, and its headquarters located in Hanoi, Vietnam.
2.
The legal
headquarters and principal place of business of ComboBooking are located in
Hanoi, Vietnam. Unless
otherwise expressly stated, any offices, branches, partners, or affiliated
entities in other locations shall not be deemed as legal entities responsible
under these Terms.
3. The Services of ComboBooking may be provided to users globally; however, the operation of the Services and all legal responsibilities shall be determined based on the location of the headquarters.
